Advanced Micro Devices, Inc. Announces Completion of Exchange Offer

Advanced Micro Devices, Inc. (NYSE:AMD - News) announced today that it has completed its offer to exchange $600 million aggregate principal amount of its 7.75% Senior Notes due 2012 which have been registered under the Securities Act of 1933, as amended (the "Exchange Notes") for any and all of its outstanding 7.75% Senior Notes due 2012 which were issued in a private placement (the "Private Notes"). All of the $600 million aggregate principal amount of the Private Notes were tendered and received prior to expiration of the Exchange Offer at 5:00 p.m., New York City time, on April 22, 2005.

This announcement is not an offer to exchange, or a solicitation of an offer to exchange, with respect to the Private Notes. The Exchange Offer was made solely by the prospectus dated March 23, 2005.
